Mr. Delfino is a partner at Delfino, Madden, O'Malley, Coyle, Koewler. He had previously worked as a partner with Downey Brand Attorneys LLP. As a corporate attorney, Mr. Delfino serves as general and corporate counsel to numerous for-profit and non-profit business entities, advising on corporate governance, director and officer fiduciary duties, contracts, and regulatory compliance matters. He also serves as lead counsel for buyers and sellers in business transactions including mergers and entity acquisitions and purchase and sale of real property. He represents lenders and borrowers in negotiating and documenting bank financing facilities and venture capital financing. A specialist in international law, Mr. Delfino negotiates and drafts complex financing, joint venture and distribution agreements for U.S. and foreign companies, and serves as counsel for various international companies with regards to U.S. operations and investments. Prior to joining Downey Brand, Mr. Delfino worked in the Office of the General Counsel at the US Department of Commerce. He earned his JD from Pacific McGeorge and his LLM from George Washington University.
